Terms of Service

These Terms of Service (“Terms”) are a contract between you and broke money, which operates afterhours.study and Afterhours (“afterhours”, “we”, “us”, “the Service”).

By accessing the website, joining the waitlist, creating an account, or using any part of the Service, you agree to these Terms and to our Privacy Policy. If you use tutoring, you also agree to the Tutoring Code of Conduct.

If you do not agree, do not use the Service.

You must be able to form a binding contract in your jurisdiction and comply with these Terms. Tutors on the marketplace must be at least 18 years old and able to complete identity verification and payout onboarding.

If you use the Service on behalf of a school, university, or other organisation, you confirm you have authority to bind that organisation and that your use complies with its policies.

Access may be invite only or limited during beta periods. We may refuse or revoke access at our discretion where permitted by law.

You are responsible for the accuracy of registration information and for keeping your login credentials confidential.

You must notify us promptly if you suspect unauthorised access to your account.

You may not share accounts in a way that circumvents plan limits or licensing terms.

afterhours is a study workspace that may include notes, flashcards, course tracking, AI assisted study tools, collaboration features, a tutoring marketplace, and related functionality. Features vary by plan, region, and release stage.

We may add, change, or remove features. During beta, parts of the Service may be incomplete, experimental, or temporarily unavailable.

The Service is a study aid. It does not replace teaching staff, official course materials, or professional advice. Independent tutors on the marketplace are not afterhours employees, and a booked session is not official university teaching.

afterhours may offer a tutoring marketplace that lets students find, request or book, and pay independent tutors, and lets approved tutors list subjects, set rates, manage availability, and request payouts. Tutoring may be online (typically via a video link such as Google Meet) or in person, depending on what the tutor offers.

afterhours provides the platform. We are not a party to the tutoring itself, we do not employ tutors, and we do not supervise in-person meetings. Tutors are independent providers. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between afterhours and a tutor.

Use of tutoring is also governed by the Tutoring Code of Conduct. Tutors must accept the Code when they apply. Students accept it by booking or attending sessions. A material breach of the Code is a breach of these Terms.

We may accept, reject, pause, or remove tutor applications and listings at our discretion, including where identity verification is incomplete, documents appear unreliable, or we reasonably believe a person is a poor fit for the marketplace. Approval is not a representation that a tutor is qualified, vetted to a professional standard, or safe to meet in person.

Tutors are responsible for their own tax, GST (if registered), ACC, and other legal obligations arising from tutoring income. afterhours may issue payment records through Stripe but does not provide tax advice.

Students pay for a session at checkout. The student pays the tutor’s listed session rate plus a buyer-paid platform fee. The fee is a percentage of the tutor’s rate (currently 15%), capped at NZD $10 per session unless we state a different fee at checkout. Tutors receive their full listed rate; the platform fee is not deducted from that rate.

Payments are processed by Stripe. Tutors must complete Stripe Connect onboarding before they can receive payouts. Tutors request payouts from the tutor dashboard when funds are available — payouts are not sent automatically. Stripe and bank processing times apply. We are not responsible for delays caused by incomplete payout details, bank holds, or Stripe reviews.

Tutors must complete identity verification (photo identification and a matching selfie, processed by Stripe Identity) as part of applying. We receive verification status and related metadata, not a standing copy of your identity document, except where Stripe or the law requires otherwise. You must not submit another person’s identity documents.

You must not arrange, solicit, or accept payment outside afterhours for tutoring that originated on the marketplace, including cash, bank transfer, or another app, in order to avoid the platform fee or these Terms. Circumvention can lead to removal and, where permitted, withholding or reversal of unpaid balance.

Prices, currencies, and available slots are as shown at booking. A request is not a confirmed paid session until checkout succeeds (or, where we have enabled a no-charge test mode, until the booking is otherwise confirmed in product).

Either party may cancel a requested, pending-payment, or confirmed session in the product. We expect more than 24 hours’ notice except for illness, emergencies, or a fault in the Service. Tutors may reschedule a mutable session where that feature is available; students may cancel and rebook.

Refunds after cancellation or a no-show are not automatic. We may refund the student, partially refund, pay the tutor, split the amount, or decline a refund, taking into account who cancelled, how much notice was given, whether any of the session ran, consumer law, and any dispute. Platform fees may be refunded, retained, or adjusted depending on that outcome and what our payment provider allows.

If a session does not go as reasonably expected — including a no-show, a seriously late start, a misleading listing, harassment, or a failure to provide the booked tutoring — either party may open a dispute in the product. We may review session records, pause payouts, and decide a resolution (including refunded, partially refunded, no refund, or another outcome). Our decision on marketplace disputes is final as between you and afterhours, without limiting mandatory consumer rights.

Repeated late cancellations, no-shows, false disputes, or Code of Conduct breaches may lead to warnings, paused listings, cancelled future sessions, or removal from tutoring.

In-person sessions are undertaken at your own risk. Meet in a public, appropriate place as required by the Tutoring Code of Conduct. afterhours is not liable for incidents that occur at an in-person meeting except to the extent we cannot exclude liability by law.

You agree not to:

• break the law or infringe others’ intellectual property, privacy, or other rights
• upload copyrighted or restricted materials without permission, or otherwise breach academic integrity rules (see Copyright and academic integrity below)
• upload malware, attempt unauthorised access, scrape the Service at scale, or interfere with its operation
• circumvent or attempt to circumvent safeguards, usage limits, sharing controls, plan restrictions, or other technical or policy protections
• harass, threaten, or impersonate others
• breach the Tutoring Code of Conduct, including completing assessed work for a student, taking tutoring payments off the platform, or arranging unsafe in-person meetings
• reverse engineer or copy the Service except where law expressly allows
• resell or commercially exploit the Service without our written permission

We may suspend or terminate your account, or restrict or remove features, at any time and for any reason permitted by law, with or without notice. This includes cases where we reasonably believe you have violated these Terms or pose a risk to the Service or other users.

afterhours is a study workspace. You must use it lawfully and in line with your school or university’s academic integrity policies.

You must not:

• upload, share, or store material you do not have the right to use, including copyrighted lecture slides, textbook excerpts, past exam papers, or other course materials distributed only to enrolled students, unless you have permission or another lawful basis
• use the Service to cheat, plagiarise, or misrepresent work as your own where your institution prohibits it, including submitting AI generated output as assessed work without permission where that is not allowed, or using tutoring to have someone else produce or sit assessed work for you
• use the Service or any workaround, automation, shared account, or third party tool to bypass safeguards, misuse features, or help others do so
• use afterhours in any way that would reasonably be expected to breach copyright law or your institution’s academic integrity rules

We may remove content, restrict features, suspend or terminate accounts, and cooperate with rights holders or your institution where appropriate and permitted by law.

You are responsible for any academic, disciplinary, or financial consequences arising from your use of the Service if you breach these Terms. This includes, for example, fines or penalties from regulators, rights holders, or your institution. By using afterhours, you agree that you are solely responsible for such consequences.

You retain ownership of content you create or upload (“User Content”).

You grant us a worldwide, non exclusive licence to host, store, reproduce, display, and process User Content only as needed to operate, secure, backup, and improve the Service, including providing features you request (such as sharing or AI assisted tools).

You represent that you have the rights needed to submit User Content, that your uploads comply with copyright law, and that your use does not breach academic integrity rules or these Terms.

We may remove content that we reasonably believe violates these Terms, infringes third party rights, or creates legal or reputational risk.

AI outputs may be inaccurate, incomplete, or unsuitable for your course. You are responsible for reviewing results before relying on them.

Do not use AI assisted features to produce work you submit as your own where your institution prohibits that.

Do not submit confidential, clinical, legal, or other sensitive information unless you accept the risk of processing described in our Privacy Policy.

We may apply usage limits to AI features according to your plan.

Paid plans, trials, and promotional access are described at checkout or in your account. Prices may change for future billing periods with notice where required. Tutoring session charges are separate from subscription fees and are described in Tutoring bookings, payments, and payouts above.

Payments are processed by our payment provider. By subscribing, you authorise recurring charges until you cancel according to in product or checkout instructions.

Except where required by law or stated in a specific offer, fees are non refundable once a billing period has started. If you cancel, access typically continues until the end of the current paid period.

Complimentary or extended access granted by us may be modified or ended in line with the offer terms.

If your access is provided by an organisation, additional terms in your organisation’s agreement with us may apply.

Organisation administrators may manage users, settings, and access within the scope of that agreement.

The Service, including software, design, branding, and documentation (excluding User Content), is owned by us or our licensors and protected by intellectual property laws.

We grant you a limited, personal, non transferable, revocable licence to use the Service in accordance with these Terms.

The Service may link to or integrate with third party services, including payment and identity providers (such as Stripe), video meeting tools (such as Google Meet), email, hosting, and AI providers. Those services are governed by their own terms and policies. We are not responsible for third party services we do not control.

We aim to keep afterhours reliable but do not guarantee uninterrupted or error free operation. Maintenance, outages, and updates may occur.

We may modify or discontinue the Service or these Terms. Material changes will be posted on this page with an updated date.

Continued use after changes take effect constitutes acceptance, except where law requires additional consent.

To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non infringement.

We do not warrant that study results, grades, or outcomes will improve from use of the Service, or that a particular tutor will be available, suitable, or a good match.

To the fullest extent permitted by New Zealand law, broke money and its directors, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or study outcomes arising from your use of the Service. This includes disputes between students and independent tutors, and incidents at in-person tutoring meetings, except where liability cannot be excluded.

Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the twelve months before the claim, or (b) NZD $100, except where liability cannot be limited by law (including under the Consumer Guarantees Act 1993 where it applies).

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees and regulatory fines or penalties) arising from your User Content, your use of the Service, your tutoring sessions (including in-person meetings), or your breach of these Terms or the Tutoring Code of Conduct (including copyright infringement or academic integrity violations), except to the extent caused by our wilful misconduct.

You may stop using the Service at any time and may request account deletion through account settings or by contacting us.

We may suspend or terminate your account, or restrict or remove features, at any time and for any reason permitted by law, with or without notice. This includes breach of these Terms, legal requirements, discontinuation of the Service, or action at our discretion.

Sections that by nature should survive termination will survive, including intellectual property, disclaimers, liability limits, indemnity, and tutoring payment and dispute provisions that relate to sessions already booked.

These Terms are governed by the laws of New Zealand. You submit to the non exclusive jurisdiction of the courts of New Zealand for disputes, without limiting mandatory consumer protections that apply where you live.
